The Jersey Private Fund ("JPF") is Jersey's flagship private funds vehicle and has become one of the most widely used fund products in the international funds market.

Investor eligibility

The JPF is designed for professional and sophisticated investors.

Investors must generally qualify as either:

  • a professional investor; or
  • an eligible investor making a minimum initial commitment or investment of at least £250,000 (or currency equivalent).

The investor eligibility criteria were expanded in 2025 and now expressly include, among others:

  • UK FCA professional clients; and
  • US accredited investors.

This wider definition aligns the JPF with internationally familiar investor categorisation frameworks and provides greater flexibility for global fundraising exercises.

No limit on investor numbers

One of the most significant enhancements to the regime is the removal of the historic cap of 50 offers and 50 investors.

There is now no limit on the number of investors in a JPF. Instead, interests in a JPF must be offered only to a "restricted group of investors". Broadly, this requires offers to be directed to an identifiable category of investors and communicated directly by the fund or its appointed agent.

A meaningful evolution rather than a technical amendment

Whilst much of the attention has focused on the removal of the 50 investor limit, the significance of the 2025 reforms is broader than that. The changes reflect the reality that private capital funds increasingly operate across global investor networks, multiple jurisdictions and larger institutional investor bases.

The revised regime gives managers greater flexibility in how they structure fundraising exercises whilst maintaining the private character of the product through the restricted group of investors requirement.

The JPF is subject to a proportionate regulatory framework designed for sophisticated investors.

Each JPF must appoint a Jersey-regulated designated service provider ("DSP"). The DSP plays a central role in the operation and oversight of the structure, including confirming compliance with the JPF eligibility requirements and acting as the principal point of regulatory interface with the Jersey Financial Services Commission ("JFSC").

The JPF regime avoids many of the regulatory requirements associated with more heavily regulated retail fund products, while maintaining the regulatory standards and governance expected by institutional investors.

Speed and execution certainty remain among the principal attractions of the JPF regime.

Applications are submitted through the fund's designated service provider and, provided the relevant eligibility criteria are satisfied, the JFSC operates a streamlined approval process with regulatory consent typically being granted within 24 hours.

This enables managers and investors to respond quickly to investment opportunities and complete fund launches within very short timeframes.

Access to international investors

Jersey continues to be one of the leading global jurisdictions for cross-border alternative funds.

JPF structures are commonly used in connection with fundraising exercises involving investors in the UK, Europe, the United States, the Middle East and Asia.

Where relevant, Jersey funds may be marketed into European jurisdictions through applicable national private placement regimes, enabling access to European professional investors without the need to establish a fully authorised EU fund structure.
